Terms of Service
Last updated: April 27, 2026 Draft prepared for legal review — not yet reviewed by counsel.
These Terms of Service (“Terms”) govern access to and use of the Sinra software-as-a-service application available at app.sinra.dev (the “Service”), operated by:
THEL Societe par Actions Simplifiee (SAS) 13 Rue des Tournelles, 75004 Paris, France Share capital: 10 000 EUR RCS Paris 764 031 528 (“THEL”, “we”, “us”)
By creating an account or using the Service, you (“Customer”, “you”) accept these Terms in full. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
1. The Service
Sinra is a project management tool for software teams: capabilities, issues, cycles, releases, testing, and related workflow features, as described on sinra.dev and in the in-app documentation. THEL may add, change, or remove features over time; material reductions in functionality for paying plans will be communicated in advance where reasonably possible.
2. Accounts and plans
- You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for activity under your account.
- The Service is offered on a free trial (14 days, full features, no credit card) followed by paid subscription plans billed per seat, as described on the pricing page. Prices are shown exclusive of applicable taxes unless stated otherwise.
- Subscriptions renew automatically for the same period (monthly or annual) unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
- THEL may suspend or terminate an account for non-payment, breach of these Terms, or unlawful use, with notice where reasonably possible.
3. Your data
- You (the Customer) own all content you submit to the Service (issues, specifications, comments, attachments, and any other data you input — “Customer Data”).
- THEL processes Customer Data solely to provide the Service, in accordance with the Data Processing Agreement (“DPA”), which forms part of these Terms.
- You are responsible for the legality of the content you submit and for having the rights necessary to submit it, including any personal data of your own team members or third parties referenced in that content.
- Sinra is built for software development and project management data. It is not designed or certified to process health data, financial account data, or other special-category personal data. Do not submit such data into the Service; use fictional or anonymized data in test or demonstration contexts. This restriction is detailed in the DPA.
- You can export your Customer Data at any time in CSV format from within the app. On termination of your subscription, you have 30 days to export your data before it is deleted from active systems (see DPA for deletion timelines on backups).
4. Acceptable use
You agree not to: use the Service to store or transmit unlawful content; attempt to breach the security of the Service or access accounts other than your own; reverse-engineer the Service beyond what is permitted by law; resell or sublicense access to the Service without a written agreement with THEL; or use the Service in a way that places an unreasonable load on shared infrastructure.
5. Availability and support
- THEL is operated by a small team; the Service is provided on a best-effort basis. We do not currently commit to a contractual uptime SLA. Planned maintenance is communicated in advance where reasonably possible.
- Support is provided by email at support@sinra.dev . Response times are not contractually guaranteed outside of any plan-specific commitment stated on the pricing page.
6. Intellectual property
The Service, including its software, design, and documentation, is the property of THEL and protected by intellectual property law. These Terms grant you a right to use the Service; they do not transfer any ownership in the Service to you. Customer Data remains yours as described in Section 3.
7. Fees and refunds
Fees are as displayed at the time of purchase or as agreed in an order form. Except where required by law or expressly stated otherwise, fees are non-refundable, including for partial subscription periods. If THEL fails to provide the Service in material breach of these Terms, you may be entitled to a pro-rata refund for the affected period.
8. Liability
To the maximum extent permitted by law, THEL’s total liability arising out of or related to the Service is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages (including loss of profits or data), except in cases of gross negligence, willful misconduct, or where such exclusion is not permitted by applicable law. Nothing in these Terms limits liability for death, personal injury, or fraud where such limitation is unlawful.
9. Term and termination
These Terms apply for as long as you use the Service. Either party may terminate a paid subscription as described in Section 2. THEL may terminate immediately for material breach that is not cured within 15 days of notice, or without notice in case of unlawful use or non-payment after a reminder.
10. Changes to these Terms
THEL may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 30 days before taking effect for existing paying customers. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by French law. Any dispute that cannot be resolved amicably will be submitted to the competent courts of Paris, France, subject to any mandatory consumer-protection rules applicable to your jurisdiction.
